Terms of Service
Last updated October 16, 2026
Learning Nodes. Effective 16 October 2026.
1. Who we are
1.1 These Terms are an agreement between you and Learning Nodes ("we", "us").
1.2 "The Service" means the Learning Nodes website at www.learningnodes.com, the Workstation at workstation.learningnodes.com (including the free run you can try without an account), our guide, docs and academy sites, and the pages we host for the open-source Elen project.
1.3 "Privacy Policy" means the Learning Nodes Privacy Policy published on our website.
2. Accepting these Terms
2.1 You accept these Terms when you create an account, use the free run, or pay for a plan. If you do not agree, do not use the Service.
2.2 If you use the Service for a business, you confirm that you can accept these Terms for that business.
3. Accounts and eligibility
3.1 The Service is for business use. You must be 18 or older.
3.2 You can sign up with an email address and password, or with Google. Give accurate details and keep them current.
3.3 Keep your password secure. You are responsible for what happens under your account. Tell us at once if someone uses it without your permission.
3.4 An account is for one person. Do not share a login. Team workspaces are coming and are not part of any plan today. A Pro plan is arranged with us in writing, and that agreement sets what it includes.
3.5 The free run works without an account. It allows one run per browser. Text you enter in a free run is sent to our AI provider to produce the result. The free run has rate limits to control cost. You must not try to get around them.
4. The Service
4.1 You paste a situation, which is messy business text such as an email thread or notes. The Service proposes the decision you appear to face, the business questions in the way of it, and the claims the decision rests on that nobody has checked. Zero proposals is a valid result. If you are signed in, you can attach a CSV file to get answers from your data.
4.2 The AI proposes and you decide. Output is a proposal. It can be wrong, incomplete or out of date, and it can misread your text or your data. Numbers from a CSV come from queries run on your data in your browser, and they are only as good as the data and the question. You are responsible for checking output before you rely on it, and for every decision you take and record.
4.3 Learning Nodes is decision-support software. We give no legal, financial, tax, accounting, investment, medical or other professional advice, and nothing in the Service or in anything we tell you is that kind of advice. We are not your adviser. When a decision needs a qualified professional, consult one. We do not guarantee any outcome.
4.4 If you use output in work for your own clients or colleagues, you are responsible for that work and for what you tell them. Today you can show a record on screen.
5. Plans and AI call limits
5.1 We offer a Free plan, a Starter plan and a Pro plan. Pro is our business plan. The plans, their prices and what each includes are in the Pricing section of www.learningnodes.com at the time you sign up or renew.
5.2 An "AI call" is one unit our system counts each time it does AI work for you, for example reading a situation, proposing business questions or a decision, or answering a question from your data. If we retry the same request behind the scenes, it counts once.
5.3 Each plan has a monthly AI call limit. Your counter is shown in the Service and resets each month. Unused calls do not carry over. When you reach your limit, AI features pause until the next reset or until you change plan. There is one counter for all plans, and a higher plan is a higher limit on that counter. We do not sell credit packs.
5.4 Anything on our website that is described as coming, planned or as an example is not part of your plan. That includes team features. We promise no date and no access for them.
5.5 Special offers, such as an introductory price or the Founding User Program, have conditions that we show when we make the offer or send you in writing. They include the length of the offer, the price after it and any cap on places.
5.6 We may change the limit or content of the Free plan. If we reduce what a paid plan includes during a period you have paid for, we will tell you before the change and you can cancel and receive a refund of the unused part of that period.
6. Paid plans, billing, cancellation and refunds
6.1 Paid plans are billed through Stripe. Your card details go to Stripe and we do not see your full card number.
6.2 Prices are in US dollars. Prices for customers in Australia include GST. Prices for customers outside Australia do not include GST. You are responsible for any other tax or duty that the law of your country makes you pay on your purchase.
6.3 Paid plans are billed at the start of each period and renew automatically for the same period until you cancel. If an introductory price applies, it applies for the number of months shown when you buy. After that, the standard price shown at that time applies from the next payment.
6.4 You can cancel at any time through the contact options on our website or, where the Service offers it, in your account settings. A cancellation takes effect at the end of the period you have paid for, and your access continues until then. We give no part refund for the rest of a period, except under 6.5, 5.6, 16.3, 14.2 or where the law requires.
6.5 If you ask within 14 days after your first payment for a paid plan, we will refund that payment in full and move you to the Free plan. This applies to the first payment only and once per customer.
6.6 If a payment fails, we may pause paid features and move you to the Free plan. Your content stays.
6.7 We may change a price. We will tell you at least 30 days before the change applies to your next renewal, and you can cancel before then.
7. Paid services quoted separately
7.1 We may offer paid services outside the plans, for example a facilitated working session on one of your decisions. For each one, we set the scope, price, payment terms and refund terms in writing before any work starts.
7.2 Those written terms and these Terms both apply. If they conflict for that service, the written terms prevail. Clause 4.3 applies to every paid service: you make the decision.
8. Your content
8.1 "Your content" means what you put into the Service: situation text, CSV files and other files you attach, notes, answers and the Decision Records you commit.
8.2 You own your content. We do not claim ownership of it.
8.3 You give us a non-exclusive, worldwide, royalty-free licence to host, store, copy, process, send and display your content to provide, secure, support, maintain and improve the Service. This includes sending it to our AI provider and to the other service providers described in the Privacy Policy, and creating de-identified or aggregated information from it.
8.4 Content in Pro (business) workspaces is not used to train AI models. For Free and Starter accounts, the licence in 8.3 includes using your content to develop, evaluate and train our AI features, as the Privacy Policy describes. How your data is handled, in short:
Situation text is saved on our server when you are signed in and is sent to xAI, our AI provider. xAI states it does not train on API data without permission and keeps requests for 30 days by default. The rows of a CSV are read in your browser, and the AI sees column names, types, the values of columns with 20 or fewer values, and the results of the queries it writes.
8.5 Security in short:
Private by default. Stored encrypted at rest by our host, Railway.
"Private by default" means other users cannot see your content unless you share it. We access content as needed to run, support, secure and improve the Service, as the Privacy Policy describes.
8.6 You confirm that you have the right to enter your content and to have it handled as these Terms and the Privacy Policy describe, including sending it to our AI provider. If your content includes information about your clients or other people, you confirm that you have the permission you need.
8.7 Do not enter payment card numbers, passwords, government identity numbers or health records.
8.8 We will not publish your content, your name or your business name in a use case, a post or an example without your written permission. The use cases on our website are made-up businesses run through the real product.
9. Decision Records
9.1 A Decision Record is what you create when you commit a decision in the Service. It holds the decision, the option chosen, a named owner, how sure you are, and the reasoning and evidence you recorded.
9.2 Before you commit, your work is a draft and you can change it.
9.3 Once you commit, the record is frozen. A database rule stops a committed record from being edited or deleted inside the Service, by you or by us in the ordinary running of the Service.
9.4 To correct a committed record, you commit a new record that points to the old one. The old record stays and is marked as superseded.
9.5 Read a record before you commit it. Leave out of it anything you may need to remove later, such as personal information about other people. Keep that in a note outside the record.
9.6 Closing your account and what happens to your content, including committed records, are handled under the Privacy Policy.
10. Acceptable use
10.1 You must not:
- use the Service to break the law or another person's rights;
- enter content you have no right to enter, including client information you are not allowed to share with a service provider;
- try to get around AI call limits, free-run limits or rate limits, or send automated traffic to the free run or to our AI features;
- probe, scan or test the Service for weaknesses, or access another person's data;
- copy the Service, use it to build a competing product, or resell access to it;
- use the Service to make automated decisions with legal or similarly significant effect on individuals, such as hiring, credit or insurance, without a person deciding;
- use the Service to send spam or to harass anyone.
11. Third-party services you connect
11.1 If you import from ClickUp, you paste your own ClickUp API token. We use it once, read-only, to read the lists you choose, and we do not store it. You confirm that you may import those tasks. The task text you import is handled as situation text.
11.2 If you sign in with Google, Google's terms and privacy policy apply to that sign-in.
11.3 Other people's websites and services, which we link to or which you connect, have their own terms.
12. Open-source components
12.1 Elen, our open-source software for coding agents, is licensed separately under the AGPL-3.0 licence that comes with it. These Terms do not change your rights under that licence.
12.2 Elen keeps decisions in a file on your own machine. If you connect Elen to our hosted service with an API key, these Terms and the Privacy Policy apply to that connection. Connected mode is a beta feature.
13. Availability, beta features and support
13.1 The Service is in public beta. We work to keep it available. We do not promise uninterrupted service or a fixed uptime.
13.2 We may change, add or remove features. If a change makes a paid feature you use materially worse during a period you have paid for, clause 5.6 applies.
13.3 We may pause the Service for maintenance, security, or a fault at a provider we rely on.
13.4 Support is available through the contact options on our website. We reply as soon as we reasonably can and promise no response time.
14. Changes to these Terms
14.1 We may update these Terms. For a material change, we will tell you by email or in the Service at least 30 days before it applies. If you keep using the Service after that date, you accept the new Terms.
14.2 If you do not agree to a material change, you can cancel before it applies and we will refund the unused part of any period you have paid for.
15. Disclaimers and limits on liability
15.1 Nothing in these Terms excludes or limits any right or remedy you have under a consumer law that cannot be excluded, including the consumer guarantees in the Australian Consumer Law. The rest of this section applies to the extent the law allows.
15.2 The Service is provided as is. We give no promise that AI output is accurate or fits your purpose.
15.3 We are not liable for indirect or consequential loss, or for loss of profit, revenue, data or goodwill, or for loss that comes from a decision you make using AI output.
15.4 Our total liability to you for all claims in connection with the Service is limited to the fees you paid us in the 12 months before the claim arose. If you paid us nothing, the limit is USD 100.
15.5 Where the law lets us limit our liability for breaching a consumer guarantee that cannot be excluded, our liability is limited, at our choice, to supplying the service again or paying the cost of supplying it again.
16. Ending your use of the Service
16.1 You can stop using the Service and ask us to close your account at any time.
16.2 We may suspend or end your access if you break these Terms, if a payment is overdue, if your use puts other people or the Service at risk, or if the law requires. We will give notice where it is reasonable to do so. We may end a Free account on 30 days' notice.
16.3 If we end a paid plan and you did not break these Terms, we will refund the unused part of the period you paid for.
16.4 When your account ends, your access ends, and we handle your content as the Privacy Policy describes. We do not currently offer a bulk export of your content.
16.5 Sections 4, 8, 9, 15, 17 and 18 continue after these Terms end.
17. Governing law and courts
17.1 These Terms are governed by the law of the State of Texas, USA. You and we submit to the jurisdiction of the state and federal courts located in Texas, subject to 17.2.
17.2 Nothing in this section removes any right you have under a consumer law that cannot be excluded, including the Australian Consumer Law, or any right to bring a claim in a court that has jurisdiction over us under that law.
18. Language
The English text of these Terms governs. A translation is provided for convenience, and if it differs from the English text, the English text applies.
19. General
If a part of these Terms cannot be enforced, the rest continues.
